1. The agreement
These Terms form a binding agreement between you and Helena Emilia Martínez Pérez ("Recadly", "we", "us"), a self-employed business (autónoma) based in Barcelona, Spain. By creating an account or using Recadly, you accept these Terms. If you don't agree with any part of them, please don't use the service. If you're using Recadly on behalf of a business, you confirm you have authority to bind that business to these Terms.
2. Your account
You need to be at least 18 years old and able to enter into a binding contract. You're responsible for the accuracy of your account information and for keeping your credentials secure. Let us know at hello@recadly.com as soon as you suspect someone else has accessed your account. You may not transfer your account to a third party or create accounts in someone else's name.
3. Using Recadly
You can use Recadly for any lawful business purpose. You may not use Recadly to:
- Send messages that are illegal, threatening, harassing, defamatory, or that violate someone else's rights.
- Send unsolicited commercial messages, scams, phishing attempts, or anything that would commonly be considered spam.
- Impersonate a person or organisation, or misrepresent your affiliation with one.
- Reverse engineer or attempt to extract the source code of the service, except where this restriction is prohibited by law.
- Interfere with the service's normal operation or probe for vulnerabilities.
If we believe you've broken these rules, we may suspend or terminate your account. We try to give a warning first, but for serious or repeated violations we may act immediately.
4. Instagram & Meta Platforms
Recadly uses the Instagram API provided by Meta Platforms, Inc. Your use of Recadly is also subject to Meta's Terms and the Meta Platform Policy. You confirm that you have the right to operate the Instagram account you connect. Meta may change or restrict the APIs we depend on; if that happens, parts of Recadly may stop working through no fault of ours, and we'll do our best to adapt quickly.
5. AI-generated content
Recadly drafts reply suggestions using language models. We work hard to make those drafts good, but we don't guarantee they'll be accurate, free of bias, or appropriate for every situation. You're responsible for what you actually send, the same way you're responsible for any other message you send to a customer. By default every draft requires your approval before it is sent; you may also configure specific topics to send automatically, and you remain responsible for those messages.
6. Fees
During the private beta, Recadly is free to use. If we introduce paid plans, we will publish prices clearly and give you notice before any charge applies to your account. You will never be charged without your explicit agreement.
7. Intellectual property
Recadly, the Recadly word and logo, the visual design of the app and this website, and the underlying code are owned by Helena Emilia Martínez Pérez or our licensors. We grant you a non-exclusive, non-transferable, revocable licence to use Recadly for the duration of your account, solely for its intended purpose. You retain ownership of the content you put into Recadly, and grant us a licence to host and process it as necessary to provide the service to you.
8. Availability
Recadly is provided on an "as available" basis. We work hard to keep it running, but we don't guarantee uninterrupted service, freedom from bugs, or compatibility with every device. During the private beta, features may change or be removed.
9. Liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with these Terms or the service is limited to €100. We are not liable for indirect, incidental, or consequential damages, including loss of profits, loss of goodwill, or business interruption. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Termination
You can close your account at any time from settings, or by emailing hello@recadly.com. We may suspend or terminate your account if you violate these Terms or if we discontinue the service. On termination, we delete your account data as described in our Privacy Policy.
11. Governing law
These Terms are governed by the laws of Spain. If we have a disagreement, please email us first at hello@recadly.com — most things get resolved that way. Consumers may bring proceedings in the courts of their country of residence; nothing here removes the protections granted to you by mandatory consumer law.
12. Changes to these Terms
We may update these Terms occasionally. For material changes, we'll surface a notice in the app or by email. The "last updated" date at the top is always current. Continuing to use Recadly after changes take effect means you accept the new Terms.
